Skip Tracing and Asset Location Services

AGREEMENT TERM: One (1) Year

1. PARTIES

This Service Agreement ("Agreement") is entered into between Asset Locator Systems LLC, a professional skip tracing and asset location company ("Service Provider"), and _________________________ ("Client").

2. SCOPE OF SERVICES

Service Provider agrees to provide the following services:

  • Skip tracing for locating individuals
  • Asset location and identification
  • Contact verification and confirmation
  • Data research and asset recovery support
  • Customized reporting as requested

3. FEES AND PAYMENT TERMS

3.1 Service Fees

  • Service model: Pay-Per-Locate—Client shall pay Service Provider only for successful skip trace locates completed during the term of this Agreement
  • Per-locate fee: As specified in the Rate Schedule attached hereto as Exhibit A
  • No retainers or minimums: Client shall not be obligated to pay any setup, retainer, activation, or minimum volume fees
  • Rate adjustments: Service Provider may adjust rates upon sixty (60) days written notice to Client

3.2 Billing and Payment

  • Monthly invoicing: Service Provider shall invoice Client monthly for all locates completed during the preceding month
  • Invoice details: Each invoice shall itemize locates by request date, subject name, and result status
  • Payment due date: Client shall remit payment within thirty (30) days from invoice date (Net 30)
  • Payment method: Payment shall be made via bank transfer, check, or other method agreed upon in writing

3.3 Late Payment and Non-Payment

  • Interest on late payments: Invoices unpaid after thirty (30) days shall accrue interest at 1.5% per month (18% annually) or the maximum rate permitted by applicable law, whichever is less
  • Collection costs: If payment is not received within sixty (60) days, Client shall also be liable for all reasonable collection costs, including attorney fees and court costs
  • Service suspension: Service Provider reserves the right to suspend services if Client is more than thirty (30) days in arrears
  • Acceleration: If Client fails to pay any invoice within ninety (90) days, all unpaid amounts shall immediately become due and payable without further notice

4. REQUEST PROCEDURES

Client shall submit requests for services in writing via email or agreed-upon digital platform. Each request shall include:

  • Name and identifying information of target subject
  • Last known address or location
  • Any additional relevant information
  • Purpose of request (within legal parameters)

5. TURNAROUND TIMES

Service Provider will make reasonable efforts to deliver results within the following timeframes:

  • Standard requests: 2-5 business days
  • Rush requests: 24 hours (with additional fees)
  • Complex cases: Up to 10 business days

6. CONFIDENTIALITY AND DATA PROTECTION

Both parties agree to:

  • Maintain confidentiality of all client information and results
  • Protect all personal and proprietary information
  • Comply with all applicable data protection laws and regulations
  • Use information only for authorized purposes
  • Not share information with third parties without written consent

7. COMPLIANCE AND LEGAL USE

Client certifies that all information provided and all uses of Service Provider's services shall:

  • Comply with all federal, state, and local laws
  • Be for legitimate business purposes
  • Not violate any individual's privacy or legal rights
  • Not be used for illegal, fraudulent, or deceptive purposes
  • Comply with the Fair Credit Reporting Act (FCRA), TCPA, and other relevant regulations

8. LIMITATION OF LIABILITY

Service Provider provides services "as-is" without warranty of accuracy. Service Provider shall not be liable for indirect, consequential, or punitive damages resulting from use of services or information provided.

9. TERMINATION

This Agreement may be terminated by either party with thirty (30) days written notice. Upon termination:

  • All outstanding invoices remain due and payable
  • Client shall cease use of Service Provider's information
  • All confidential information shall be returned or destroyed

10. DISPUTE RESOLUTION

Any disputes arising from this Agreement shall be resolved through mediation or binding arbitration in accordance with applicable state law.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.

13. NOTARIZATION

EXHIBIT A - RATE SCHEDULE

The following rates apply to skip tracing services provided under this Agreement:

Service Type Rate Per Locate
Standard Skip Trace (2-5 business days) $________ per locate
Rush Locate (24 hours) $________ per locate
Complex Locate (up to 10 business days) $________ per locate

These rates are effective as of _____________ and remain in effect until superseded by written notice from Service Provider. Unsuccessful locate attempts shall not be billable. Both parties agree to the rates listed above as consideration for this Agreement.
